Service of Documents via eSanduče and New APR Data Portal

Pursuant to Article 21 of the Companies Act, all companies (joint-stock companies, general partnerships, limited partnerships, and limited liability companies) are under an obligation to register as users of eGovernment services, so that acts of state authorities may be duly served through the Unified Electronic Mailbox (eSanduče) on the eGovernment portal.

What has changed?

The Business Registers Agency (APR) has commenced the practice of delivering acts adopted in registration proceedings, as well as decisions issued ex officio, into the company’s eSanduče. Service is deemed effected at the moment when the user opens the electronic return receipt, from which time all statutory deadlines for action begin to run.

What are the obligations?

  • the company must have a registered and updated e-mail address in the Register of Business Entities maintained by the APR;
  • the legal representative or an authorized person must hold a qualified electronic certificate or use the ConsentID application to access documents.

In addition to introducing mandatory delivery of acts via eSanduče, the APR has launched a new web portal that enables companies faster and more comprehensive access to business and financial data.

The functionalities available include:

  • consolidated overview of data on an entity from all registers,
  • daily monitoring of changes and automatic notifications by e-mail,
  • advanced search and creation of lists of entities based on selected criteria,
  • financial statements and creditworthiness indicators for the past five years,
  • data from the National Bank of Serbia (NBS) on bank accounts and enforced collection,
  • information on the 10 largest shareholders of joint-stock companies from the Central Securities Depository.

This portal provides companies with simplified access to data relevant for assessing business partners, creditworthiness, and legal security in commercial transactions, with further functionalities announced in the upcoming period (statistical reports, sectoral analyses, comparative overviews).

In practice, these changes mean that it is increasingly important for companies to regularly update their data in the Register and to ensure technical readiness for electronic communication with state authorities, since statutory deadlines begin to run from the moment acts are served into the eSanduče.
